1. Appointment

Influencer Manager appoints Gamer Influencer to promote REAL Championship Live and recruit gamers using approved links, codes, and tracking systems. Gamer Influencer accepts this appointment under the terms of this Agreement.

2. Scope of Work

Gamer Influencer will promote REAL Championship Live events, tournaments, and platforms through social media, content creation, direct outreach, or other approved methods to drive gamer registrations.

3. Commission Structure

A "Qualified Gamer" is a user who:

• Completes registration through approved tracking systems, and
• Successfully submits payment for participation in a REAL Championship Live event or platform.

Compensation:

• Base Commission: $1.00 per Qualified Gamer

All commissions are subject to verification and must be tracked through approved systems.

4. Payment Terms

Payments are issued bi-weekly within 5 business days of each period's close via PMC Charity. A $25 minimum threshold applies; amounts below roll over. Each payment includes an itemized earnings statement. Payment may not be withheld without written notice stating the reason.

5. Tracking and Verification

All gamer registrations must be tracked through assigned links, codes, or systems. Influencer Manager retains the right to verify all Qualified Gamers. Influencers may request documentation supporting any verification decision.

6. Independent Contractor Status

Gamer Influencer is an independent contractor and not an employee, partner, or agent of Influencer Manager or REAL Championship Live.

7. Conduct and Compliance

Gamer Influencer agrees to professional representation and truthful promotion. Any alleged violation requires written notice and a 7-day cure period before adverse action. Payment may not be withheld during a pending conduct dispute.

8. Non-Circumvention

Gamer Influencer agrees not to bypass Influencer Manager to work directly with REAL Championship Live unless approved in writing.

9. Term and Termination

Either party may terminate with 14 days' written notice. Upon termination, all earned commissions are paid within 14 days. Tracking links remain active through the notice period. Qualified Gamers who convert within 7 days post-termination are still counted.

10. Refunds and Chargebacks

Refund-related commission deductions apply to future payments only — no repayment of already-paid commissions unless influencer fraud is proven in writing. Written notice of any deduction must be provided within 10 business days, including transaction details.

11. Dispute Resolution

Parties will attempt good-faith resolution within 14 days of written notice. Unresolved disputes proceed to binding arbitration in Florida under AAA rules. Each party bears its own fees unless bad faith is found.

12. Confidentiality

Gamer Influencer agrees to keep all Company strategies, systems, and proprietary information confidential during the term and following termination.

13. Intellectual Property

All influencer-created content remains the influencer's property. Gamer Influencer receives a non-exclusive license to share it during the term. Upon termination, Gamer Influencer must cease use of Company materials within 30 days. No edits or repurposing of Company assets without written consent.

14. Limitation of Authority

Gamer Influencers may not make commitments or representations on behalf of REAL Championship Live or Influencer Manager.

15. Governing Law

This Agreement shall be governed by the laws of the State of Florida.
